ACADEMIC QUALIFICATION/EXPERIENCE

 

• Minimum of Bachelor of Law Degree

 

• Barrister of Law degree from an accredited law school and active membership in a relevant bar association.

 

• A master’s degree or other relevant professional qualification is a plus.

 

• Proven experience in a senior legal role within the financial services sector, including experience with financial holding companies and their subsidiaries.

 

• Minimum of 10 years post-call experience in legal or related areas within the financial services sector and/ or property/real estate field of which 5 years must have been at a senior management level.

 

• Demonstrated ability to provide strategic legal counsel to senior executives and the Board.

• Strong understanding of financial services laws and regulations, corporate governance, contract law, and compliance requirements specific to the financial industry and property laws

 

• In-depth understanding of regulatory compliance requirements.

 

• In-depth understanding of the Nigeria Code of Corporate Governance (2018), and CBN guidelines on governance guidelines.

 

• In-depth understanding of the Board Secretaryship functions and Board dynamics.

 

• Proficiency in minutes taking and writing.

 

 

 

 

RESPONSIBILITIES are not limited to the following:

 

COMPANY SECRETARY

 

• Maintaining the statutory registers of the company (register of directors and secretary, register of members, register of directors’ and secretaries’ interests and register of debenture holders) and making them available for inspection to those entitled.

• Preparing and filing the annual return and notice of other matters such as changes in directors and secretaries or in their particulars, change of registered office address, a return of allotments, passing of special and certain ordinary resolutions etc. within the prescribed limits in the Corporate Affairs Commission (CAC).

 

• Understand and manage all shares related issues e.g. issuance of shares, call on shares, replacement, transfer and transmission of shares, issuance of certificate, management of shareholding accounts and register, as well as well as statutory requisitions

 

 

 

 

HEAD OF LEGAL

 

▪ Research and evaluate different risk factors regarding business decisions and operations.

▪ Apply effective risk management techniques and offer proactive advice on possible legal issues.

 

▪ Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust.

 

▪ Draft, review and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights.

 

▪ Deal with complex matters with multiple stakeholders and forces.

 

▪ Provide accurate and timely counsel to executives on a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.)

 

▪ Provide clarification on legal language or specifications to everyone in the organization.
